ARTICLE I. NAME
The name of this organization is Mid-Missouri Teachers Applying Whole Language (Mid-Missouri TAWL).
ARTICLE II. OBJECTIVES
Mid-Missouri TAWL is an educational organization devoted to the improvement of learning and teaching through greater understanding of the relationships between language, thinking and learning.
Through its members, TAWL provides conferences, meetings, in-service education and consultation to school systems, colleges, professional associations, and other educational groups.
TAWL also supports research and development efforts in the areas of language processes, linguistics, psycholinguistics, sociolinguistics, and the application to educational problems and issues. Mid-Missouri TAWL employs all means of dissemination to achieve its purposes.
ARTICLE III. MEMBERSHIP
Section 1.Members shall be persons dedicated to expanding language and thinking classrooms and to promoting theoretically-based curriculum.
Section 2. All members will be equal in terms of rights, privileges, and voting. Members shall be eligible to vote, participate in meetings, and hold office.
ARTICLE IV. ADMINISTRATION
Section 1.
- The management of Mid-Missouri TAWL shall be vested in a board of no more than twelve (12) members, of whom
four (4) shall be officers.
- The president shall appoint a membership chair and conference co-chairs who will attend appropriate board meetings.
Section 2.The officers of Mid-Missouri TAWL shall be president, vice-president, treasurer, and secretary.
Section 3.The officers shall be voting members of the board.
Section 4.Officers and board members shall serve for one (1) year. They may be re-elected.
Section 5.Officers and board members shall be nominated by a committee appointed by the president. Nominations may also be made from the floor.
Section 6.The past-president shall serve as an ex-officio member of the board.
Section 7.Duties and responsibilities of Mid-Missouri TAWL officers and board members are as follows.
- Officers and board members shall make every effort to attend all meetings, obtaining a substitute if it is necessary to miss a meeting.
- The president shall preside over meetings, provide leadership, and represent Mid-Missouri TAWL to the public.
- The vice-president shall perform the duties of the president, in the absence of or in the event of the inability of the president to act.
- The treasurer shall be responsible for handling all finances and maintaining financial records. The treasurer shall collect and deposit monies in the name of Mid-Missouri TAWL policies as directed by the board. The treasurer shall submit a financial report at least twice a year.
- The secretary shall handle correspondence and keep minutes and records.
- Should a vacancy of officers or board member occur, the vacancy shall be filled without undue delay by the board.
Section 8. The board shall meet at least three (3) times a year. A majority of those present shall be required to approve or disapprove motions.
Section 9. Meetings.
- The membership shall meet regularly throughout the year. Written notice of meetings shall be sent to each member.
- Board meetings shall be held in such a place or places as determined by the officers. Written notice of the time and place of meetings shall be given to board members.
ARTICLE V. TRANSACTING BUSINESS
Section 1. All commitment on the part of Mid-Missouri TAWL for services to other agencies or individuals must be approved by the president and one other board member.
Section 2.As a non-profit organization all income not needed for expenses may also be used for professional development of the members as approved by the board.
Section 3.No officers or board members shall receive any salary or compensation for official services unless voted on by the board.
ARTICLE VI. PUBLICATIONS
The board may establish publicity, may approve publications of books, monographs, or reports, and may enter into agreements on behalf of Mid-Missouri TAWL with publishers to produce or market Mid-Missouri TAWL publications.
